5、 不可抗力 Force majeure
Force majeure indicates incidents that are unpredictable, unavoidable and uncontrollable. It includes but not limited to:
Natural disasters, earthquakes, floods, lightning strikes, typhoon and fire disasters;
War or quasi-war status, terrorist activities, enforcement of martial laws, riots and strikes.
If any party is forced to terminate or postpone the implementation of this Agreement due to the aforementioned force majeure, the implementation time of this Agreement can be postponed. The postponed time is equal to the duration time of the force majeure. The party affected by the force majeure must inform the other party by email or fax as soon as possible after the force majeure takes effect to avoid further loss. If the Agreement is terminated or postponed due to the force majeure caused by the delay of implementation of Party B, Party B shall take responsibility.
6、 争议解决及其它 Dispute resolution and others
If any dispute arises out of or in connection with this Agreement, both parties shall resolve the dispute by friendly negotiation. If the dispute cannot be resolved, any party can sue to the people’s court with the jurisdiction to the Agreement.
This Agreement is provided in duplicate, with each party holding one copy and the two copies having the same legal validity. This Agreement shall take effect on the date when it is sealed and signed by the representatives of both parties.
This Agreement is valid from the date when it is signed by both parties to the date when Party A terminates the Agreement.
